Assistant Vice President / Senior Associate – Corporate Secretarial

to manage a portfolio of Singapore private entities and the successful candidate for the Assistant Vice President position will act as Company Secretary to such client entities. Successful candidates will be responsible for all aspects of establishing and on-going administration of client companies.  They must be familiar with all aspects of these processes (including Bizfile+ filings), maintaining statutory records, preparation of board and shareholder written resolutions and providing other corporate secretarial services to ensure that client companies are in compliance with all statutory and regulatory requirements. This will also involve arranging board and general meetings and if applicable, attendance at such meetings and writing of meeting minutes.  They will assist in client on-boarding and maintain information in our internal systems regarding all client companies including KYC data.

 

Both positions require attention to detail, professionalism and good organisational skills. The successful candidates must be able to work independently with minimum supervision, use their own initiative and work efficiently under pressure to meet tight deadlines.  An ability to prioritise work and a flexible proactive attitude is needed, as are excellent interpersonal and communication skills.  They will be used to extensive direct dealings with clients and other transactional parties including lawyers, accountants, investment bankers and directors.

 

The successful candidates will be highly skilled and work-ready, with at least 8-10 years relevant experience for the Assistant Vice President position and 5 years relevant experience for the Senior Associate position.  Good understanding of the Singapore Companies Act and its regulations as well as AML regulations / guidelines applicable to registered filing agents is required.  They should be Singapore qualified lawyers, members of ISCA or SAICSA and must be computer literate with an excellent knowledge of Microsoft Office.
